Terms of Service

These Terms & Conditions ("Terms") of (a) use of our website www.safalta.com / our applications (collectively "Platform"), or any products or services in connection with the Platform including but not limited to course material for students ("Services") or (b) any modes of registrations or usage of products are between Safalta Education Private Limited ("Safalta/Company/We/Us/Our") and its users.

These Terms constitute an electronic record in accordance with the provisions of the Information Technology Act, 2000 and the Information Technology (Intermediaries guidelines) Rules, 2011 thereunder, as amended from time to time.

Please read the Terms and the privacy policy of the Company ("Privacy Policy") with respect to registration with us, the use of the Platform, Services and products carefully before using the Platform, Services or products. In the event of any discrepancy between the Terms and any other policies with respect to the Platform or Services or products, the provisions of the Terms shall prevail.

Your use/access/browsing of the Platform or the Services or products or registration (with or without payment/with or without subscription) through any means shall signify Your acceptance of the Terms and this to be legally bound by the same.

If You do not agree with the Terms or the Privacy Policy, please do not use the Platform or avail the Services or products. Any access to our Services/Platform/products through registrations/subscription is non-transferable.

We provide the Platform or the Services or products or registration to users seeking course materials ("Students") from the course providers ("Tutors"/ "Institutes").

The term "you" or "You" or "User" or "Users" shall refer to Students, Tutors, Institutes or any person or entity who views, uses, accesses, browses or submits any content or material on the Platform or the Services or products or registration.

The Terms are effective upon acceptance and govern the relationship between you and us including the provision of any of the Services on the Platform.

In the event the Terms conflict with any other document / policy / Content on the Platform, the Terms will prevail over them, for the purposes of usage of the Platform. Any express waiver or failure to exercise promptly any right under the Terms will not create a continuing waiver or any expectation of non-enforcement. If you do not agree to be bound by the Terms and the Privacy Policy, you may not use our Platform in any way and should exit immediately.

If any provision of the Terms is held invalid by any law or regulation of any government, or by any court, the parties agree that such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of the Terms will remain in full force and effect.

1. SERVICES

You are responsible for your acts and omissions. Platform is only a venue to connect Students and Tutors/ Institutions, in the event that you have any dispute with other user, you release Safalta (and our parents, subsidiaries, officers, directors, shareholders, employees, agents, joint ventures, consultants, successors and assigns) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

We only support the Tutor or Institute decisions and choices that you make. Students are responsible for selecting the right course material. ALL SESSIONS MUST BE SUPERVISED BY A RESPONSIBLE ADULT.

We control and operate the Platform from various locations and makes no representation that the Platform is appropriate or available for use in all locations.

Our Services may not be available in your location, and available services may vary among locations. In addition, We will attempt to deliver all correspondence sent via the Platform's messaging system. We do not, however, guarantee delivery of all messages.

We reserve the right to withdraw or modify aspects of our Services, or the entirety of it, when and where we have legal or commercial reasons to do so. There may also be times when the Services become inaccessible as a result of technical difficulties; we will, however, use reasonable skill and care to overcome these difficulties where they are within our control.

We at all times reserve the right to replace the Tutor as we deem fit for any course that may be subscribed by you.

We do not provide the Content on the Platform. It is the Users of the Platform provide Content on the Platform. The Tutor or Institutes determine which questions to answer or topic to cover; they are not employees or agents of Safalta but are independent service providers using the Platform to provide their expert knowledge to users of Platform.

We are not involved in any conversations between Users and do not refer you to or endorse or recommend particular Tutors or Institutes. You understand and acknowledge that we cannot and do not edit, modify, filter, screen, monitor, endorse or guarantee the Content on Platform. We shall not be liable for any acts or omissions of Tutor or Institutes, Content, the ability of Tutor or Institutes to answer questions or the ability of Students to pay for tuitions. We do not ensure that users will complete a transaction.

2. ACCESS, PERMISSIONS AND RESTRICTIONS.

We hereby grant you permission to access and use the Platform as set forth in these Terms, provided that:
a. You agree not to distribute in any medium any part of the Platform or the Content without our prior written authorization.
b. You agree not to alter or modify any part of the Platform.
c. You agree not to access Content of any other User through any technology or means other than the video playback pages of the Platform itself.
d. You agree not to use the Platform for any of the following commercial uses unless you obtain our prior written approval:
e. the sale of access to the Platform;
f. the sale of advertising, sponsorships, or promotions placed on or within the Platform or Content; or
g. the sale of advertising, sponsorships, or promotions on any page or website that provide similar Platform as that of Safalta.
h. You agree to receive installs and updates from time to time. These updates are designed to improve, enhance and further develop the Platform and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit us to deliver these to you) as part of your use of the Platform.
i. You agree not to use or launch any automated system, including without limitation, тАЬrobots,тАЭ тАЬspiders,тАЭ or тАЬoffline readers,тАЭ that accesses the Platform in a manner that sends more request messages to our servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, We grant the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. We reserve the right to revoke these exceptions either generally or in specific cases at any time with or without providing any notice in this regard. You agree not to collect or harvest any personally identifiable information, including account names, from the Platform, nor to use the communication systems provided by the Platform (e.g., comments, email) for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any Users of the Platform with respect to Content.
j. You may post reviews, comments and other Content; send other communications; and submit suggestions, ideas, comments, questions or other information as long as the Content is not illegal, obscene, spreads hatred towards a person/ community/ religion, threatening, defamatory, invasive of privacy, infringement of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any other form of spam. Further, you give us limited, royalty free, worldwide, non-exclusive license to use the Content and communication in developing its Platform and in any of its marketing or promotional activities.
k. In your use of the Platform, you will at all times comply with all applicable laws and regulations.
l. Without our written consent, you may not: (i) reproduce, duplicate, copy, sell, resell, or exploit for any commercial purpose, any portion of the Platform, use of the Platform, or access to the Platform; (ii) allow, enable, or otherwise support the transmission of mass unsolicited, commercial advertising or solicitations via e-mail (spam); (iii) use any high volume, automated, or electronic means (including without limitation robots, spiders, scripts, or other automated device) to access the Platform or monitor or copy our Web pages or the Content contained thereon; (iv) deep link to the Platform for any purpose; or (d) frame the Platform, place pop-up windows over its pages, or otherwise affect the display of its pages.
m. You agree not to use the Platform to send any message that is unlawful, libellous, defamatory, abusive, sexually explicit, threatening, vulgar, obscene, profane, racially offensive, or otherwise objectionable, as determined by us in our sole discretion.
n. You agree not to use the Platform to: (a) violate or encourage the violation of any local, state, national, or international law; (b) stalk, harass, or harm another individual; (c) collect or store personal data about other users of our Platform; (d) impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity; (e) interfere with or disrupt the Platform or services or networks connected to the Platform, or disobey any requirements, procedures, policies, or regulations of networks connected to the Platform.
o. You agree to not share your login or password details with anyone and take all precautions to keep your login and password safe and secure.

We reserve the right to discontinue any aspect of the Platform at any time with or without notice at our sole discretion.

3. CONTENT USE

In addition to the general restrictions mentioned above, the following limitations and conditions shall apply to your use of the Content.

Content utilized on the Platform which shall include but not be limited to trademarks, service marks and logos (тАЬMarksтАЭ), process, images, software, graphics are owned by or licensed to us and subject to copyright and other intellectual property rights under the law.

Content is provided to you on an AS IS basis. You may access Content for your information and personal use solely as intended through the provided functionality on the Platform and as permitted under these Terms and Conditions. You shall not download any Content unless you see a тАЬdownloadтАЭ or similar link displayed by us on the Platform for that Content. You shall not copy, reproduce, make available online or electronically transmit, publish, adapt, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Content for any other purposes other than as provided herein without our prior written consent or the respective licensors of the Content. We/ our licensors reserve all rights not expressly granted in and to the Platform and the Content.

You agree not to circumvent, disable or otherwise interfere with security-related features of the Platform or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Platform or the Content therein.

You understand that when using the Platform, you will be exposed to Content from variety of sources and by different Users, and that we are not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Content. You further understand and acknowledge that you may be exposed to Content that is inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against us with respect thereto, and, to the extent permitted by applicable law, agree to indemnify and hold harmless us, our owners, operators, affiliates, licensors, and licensees to the fullest extent allowed by law regarding all matters related to your use of the Platform.

4. CONDUCT

As User, you may submit Content on the Platform, including videos and User comments. You understand that we do not guarantee any confidentiality with respect to any Content you submit.

You shall be solely responsible for your own Content and the consequences of submitting and publishing such Content on the Platform. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the Content that you submit; and you grant limited license to us to all patent, trademark, trade secret, copyright or other proprietary rights in and to such Content for publication on the Platform pursuant to these Terms and Conditions for the duration the said Content is available on Platform.

For clarity, you retain your ownership rights in your Content. However, by submitting Content to Platform, you hereby grant us a worldwide, non-exclusive, royalty-free, sub-licensable and transferable license to use, reproduce, distribute, display, publish, make available online or electronically transmit, the Content in connection with the Platform and our (and its successorsтАЩ and affiliatesтАЩ) business, including without limitation for promoting and redistributing part or all of the Platform in any media formats and through any media channels. You also hereby grant each User of the Platform a limited, non-exclusive license to access your Content through the Platform. The above licenses granted by you in the Content you submit to the Platform terminate within a commercially reasonable time after you request us to remove or delete your videos from the Platform provided you pay the mutually agreed amount that we incurred in providing the Platform to you. You understand and agree, however, that we may retain, but not display, distribute, or perform, server copies of your videos that have been removed or deleted. The above licenses granted by you in User comments and testimonial you submit are perpetual and irrevocable.

You further agree that Content you submit on the Platform will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material and to grant us all of the license rights granted herein.

Furthermore, you confirm that the Content uploaded by you is not:
a. False, inaccurate or misleading;
b. Infringe any third partyтАЩs copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
c. Violate any law, statue, ordinance or regulation;
d. defamatory, unlawfully threatening or unlawfully harassing;
e. obscene or contain pornography.
f. Contain any viruses, trojan horses, worms, cancelbots or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.

You understand that in the event the Content meets any of the aforesaid criterias, You will be liable to prosecution at Your own cost and risk.

You understand and confirm that you shall not during your use of the Platforms at any time post or publish any content, comments or act in any way which will amount to harassment of any other User, whether a learner or an educator. If at any given point it comes to our notice that you are engaged in any kind of harassment of other Users, then in such a case you agree that we shall have the sole right to suspend/terminate your account with immediate effect and without any notice of such suspension or termination and we also reserve the right in our sole discretion to initiate any legal proceedings against you in such cases.

We reserve the right to publish your Content as part of the Service and to also to remove your Content for any reason. We are not, however, responsible for any failure or delay in removing Content.

We at our sole discretion may process any audio or audio-visual content uploaded by you to the Platform to confirm if the same is in accordance with our internal quality requirements and is compatible with the Platform.

We do not endorse any Content submitted on the Platform by any User or other licensor, or any opinion, recommendation, or advice expressed therein, and We expressly disclaim any and all liability in connection with Content. We do not permit copyright infringing activities and infringement of intellectual property rights on the Platform, and we will remove all Content if properly notified that such Content infringes on anotherтАЩs intellectual property rights. We reserve the right to remove Content without prior notice if it has reason to believe that the Content infringes any copyright.

5. ELIGIBILITY

Use of the Platform is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc. are not eligible to use the Platform. If you are a minor i.e. under the age of 18 years, you shall not register as a User of the Platform and shall not transact on or use the Platform. If you are below age of 18, you can use the Platform or Services only in conjunction with, and under the supervision of, your parent or guardian who has agreed to the Terms. If you are the parent or legal guardian of a child under the age of 18, you may use the Platform or Services on behalf of such minor child. By using the Platform or Services on behalf of a minor child, you represent and warrant that you are the parent or legal guardian of such child. If you do not qualify under these terms, do not use the Platform or Services. Membership in the Services is void where prohibited by applicable law, and the right to access the Platform is revoked in such jurisdictions. By using the Platform and/or the Services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of the Terms set forth herein. You agree: (a) to provide accurate, current, and complete information about you as may be prompted by a registration form on the Platform ("Registration Data"); (b) to maintain the security of your password and identification; (c) to maintain and promptly update the Registration Data and any information you provide to Safalta, to keep it accurate, current and complete; and (e) to accept all risks of unauthorized access to information and Registration Data.

Those who choose to access this Platform from outside India are responsible for compliance with local laws if and to the extent local laws are applicable.

6. CONTENT

You may submit feedback regarding your experiences on our Platform, submit inquiries concerning possible educational needs and to participate in the other interactive and community features of the Platform (collectively "Content"). It is important that you act responsibly when providing Content. In providing feedback, please give clear, honest information about the Tutor or Institute and your experiences, but do not use inappropriate language, make gratuitous personal criticisms or comments or provide information that others could use to determine your identity. When participating in other interactive or community aspects of the Service, please do not post any information that another user or Tutor or Institute may use to identify you as an individual, but please do include all relevant information in a concise manner to help us provide you with a helpful response.

You acknowledge and agree that by submitting the Content to us, you (i) grant us a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from and publicly display and perform the Content throughout the world in any media, now known or hereafter created without attribution, (ii) grant us the right to pursue at law any person or entity that violates Your and/or our rights in Your Content, and (iii) forever waive any and all of Your rights, including but not limited to moral rights, if any, in and to Your Content, including, without limitation, any all rights or requirements of attribution or identification of You as the author of the Content or any derivative thereof. You further acknowledge and agree that Your Content is non-confidential and do not contain proprietary information.

Except as described in our Privacy Policy, We will not be required to treat any of Your Content as confidential, and you acknowledge and agree that we may use in connection with our business any of the concepts and ideas contained in Content without compensation to you and we will not incur any liability to You as a result of any similarities between concepts and ideas contained in Content and our future operations and business. Except as otherwise set forth in this Terms, we will be entitled to use the Content for any commercial or other purpose whatsoever without compensation to You or any other person.

Content, including personally identifiable information contained therein are made voluntarily and are subject to the Privacy Policy. You are responsible for Content and agree to defend us, indemnify and hold us harmless from any damages, losses, costs, or expenses, including reasonable attorneysтАЩ fees, which we may incur as a result of Content.

With respect to Content, you acknowledge, warrant and agree that:

a. If Content concern review of Tutor or Institutes: Content will be true and accurate, only concern or relate to the care or service that You, Your minor child or Your ward received from the Tutor or Institutes being reviewed, that You are not related to or employed by the Tutor or Institutes being reviewed and that You are not impersonating any other person;
b. If You are a Tutor or Institute submitting or editing any Content, Your Content will be true and accurate, You are the Tutor or Institute specifically identified in the Content being submitted or edited, and Your Submissions will only concern You and the services that You provide.
c. If You are a person authorized by a Tutor or Institute to submit or edit Content specifically related to that Tutor or Institute, Content will be true and accurate, You are authorized by the Tutor or Institute identified in the Content or edited to make such edits and Content will only concern that Tutor or Institute and the services provided by that Tutor or Institute.
d. You have the right to make Content without violating the copyright, trademark, patent or other intellectual property rights of any person or entity, and Content will not contain any content, personally identifiable information (other than the name of the Tutor or Institutes being reviewed), information, or materials of any kind that relates or refers to any other person or entity other than the person or entity being reviewed;
e. Content will not violate any law, or in any manner infringe or interfere with the rights of others, including but not limited to the use of names, information, or materials that (i) libel, defame, or invade the privacy of any third party, (ii) are obscene or pornographic, (iii) harmful, threatening, offensive, abusive, harassing, vulgar, false or inaccurate, racially, sexually, ethnically or are otherwise objectionable or otherwise contrary to the laws of any place where such Submissions may be accessed, (iv) constitute personal attacks on other individuals, (v) infringe the intellectual property, trade secret or proprietary rights of any third party, (vi) promote criminal or other illegal activity, (vii) promote or advertise any person, product or service or solicit funds, or (viii) are deemed confidential by any contract or policy.

7. REPRESENTATIONS AND WARRANTIES

By using the Platform, you represent and warrant that you currently meet and will continue to meet the following eligibility conditions ("Eligibility Conditions") for as long as you use the Platform: (a) you have and will at all times comply with all laws and regulations; (b) you have the right, authority and capacity to enter into these Terms of Use and to abide by all of terms and conditions in these Terms of Use; (c) neither you, nor anyone in your home: (i) has been the subject of a complaint, restraining order or any other legal action involving violence, abuse, neglect, fraud, larceny, or any offense that involves endangering the safety of others; (ii) has been convicted of a crime of any nature, including any felony or misdemeanour of any kind, including without limitation any sexual, child abuse or domestic violence offenses; and/or (iii) has been and/or is currently required to register as a sex offender in any jurisdiction or with any government entity; and (d) neither you, nor anyone in your home, is currently out on bail or on your own recognizance pending trial, relating to any felony or misdemeanour charges of any kind, including without limitation sexual, child abuse or domestic violence offenses.

By using the Platform, you understand and agree that Safalta may rely on the above Eligibility Conditions representations and warranties as true. You understand and agree that we may revise the Eligibility Conditions from time to time and require new conditions and certifications and that User will abide by such revised Eligibility Conditions or discontinue using the Platform.

You hereby authorize Safalta to verify the above representations and warranties by you and you acknowledge and agree that Safalta shall have the right, but not the obligation, to verify such representations and warranties. You agree and understand that such verification may include, without limitation, conducting criminal background checks, sex offender registry checks, motor vehicle records checks, identification verifications, credit checks and/or use of available public records. You consent to any collection, use or disclosure in order to accomplish such verification. You further agree that Safalta may take such action as it, in its sole discretion, deems appropriate, including without limitation suspending and/or terminating your use of the Platform, should it determine that you have violated any representation or warranty.

The preceding paragraph notwithstanding, you understand and agree Safalta does not conduct background checks of any User. You also understand and agree Safalta neither confirms nor denies the validity of information provided by Users and that Safalta does not verify that any or all of the Eligibility Conditions are met by Users. You understand and agree to make your own decisions and assessments about persons to engage and that IT IS YOUR SOLE RESPONSIBILITY TO CONDUCT ANY AND ALL BACKGROUND AND REFERENCE CHECKS REGARDING OTHER USERS.

Safalta expressly disclaims, and you expressly release Safalta from, any and all liability whatsoever for any controversies, claims, suits, injuries and/or damages arising from and/or in any way related to: (a) any inaccuracy, untimeliness or incompleteness regarding a User's Eligibility Conditions and/or (b) misstatements or misrepresentations made by any User.

Safalta reserves all of its rights to remove anything objectionable to Safalta in its sole discretion. Alleged improprieties by any User may be reported to Safalta by email at [email protected] .

8. SUSPENSION AND TERMINATION

You acknowledge that Safalta has no obligation to monitor any Content provided by Users.

You further understand and agree that in SafaltaтАЩs sole discretion, and without prior notice, Safalta may terminate its licence with You and may therefore choose to suspend or terminate Your access to the Platform and the Services at any time or exercise any other remedy available and modify or delete any unauthorised Content, if Safalta believes that the Content You provided has violated or is inconsistent with these Terms or violated the rights of Safalta or another User. Notwithstanding this, You are solely responsible for and bear the legal risk associated with such Content anywhere in the world.

Safalta may release user information about You if required by law, or if the information is necessary or appropriate to release to deal with an unlawful or harmful activity.

You agree that monetary damages may not provide a sufficient remedy to Safalta for violations of this Licence and You consent to injunctive or other equitable relief for such violations.

You acknowledge and agree that to improve the Platform, Safalta may stop (permanently or temporarily) providing the Services (or any features within the Services) to You or to users generally at SafaltaтАЩs sole discretion, without prior notice to You.

9. FEES & REFUNDS

Safalta may at its sole discretion revise or change the subscription and connect rates without any prior notification. In the event you have subscribed to a course prior to commencement of the course, you may request for refund within 24 hours of payment of course fee, provided the course hasn't commenced. The decision to refund shall be as per sole our discretion. In the event the subscription is taken once the course has already commenced, we will not entertain any refund request. Our decision on refunds shall be final and binding.

10. THIRD PARTY REPORTS

Safalta may utilize third party consumer reporting agencies that perform, among other things, criminal background checks, sex offender registry checks, motor vehicle records checks, credit checks, and identification verifications ("Consumer Reports"). Safalta does not endorse or make any representations or warranties regarding the reliability of such Consumer Reports or the accuracy, timeliness or completeness of any information in the Consumer Reports. Safalta does not independently verify information in the Consumer Reports.

You hereby consent to Safalta collecting, using and disclosing the information in the Consumer Reports. You understand and agree that Safalta may, in its sole discretion, review and rely on the information in the Consumer Reports in deciding whether to suspend or terminate a User or to investigate a complaint about a User, but that Safalta shall not be responsible or liable in any way in the event that any information in the Consumer Reports about any person, including without limitation any User, is not accurate, timely or complete. Users who are the subject of Consumer Reports may contact the service provider to dispute the accuracy, timeliness or completeness of such information. Safalta reserves the right to suspend and/or terminate User based on information in the Consumer Reports or for any other reason in Safalta's sole discretion.

11. USER INFORMATION

We may use the information it obtains relating to you, including your IP address, name, mailing address, email address, contact number and use of the "Products" for our internal business and marketing purposes, and may disclose the information to third parties including tele marketing service providers for such purposes.

12. INFORMATION COLLECTION AND USE BY SAFALTA

We collect user submitted information, such as name and e-mail address, to authenticate users and to send notifications to those users relating to the Services. We also collect other profile data including but not limited to: personal interests, profile photo, admit cards, gender, age, education, and occupation and can use the same for our marketing reasons.

We also log non-personally-identifiable information including IP address, profile information, aggregate user data, and browser type, from Users. This data is used to manage the website, track usage and improve the Services. This non-personally-identifiable information may be shared with third-parties to provide more relevant services and advertisements to members. User IP addresses are recorded for security and monitoring purposes. We may also use a user's e-mail address to send updates, newsletters or news regarding the Services.

13. USE OF COOKIES

We use cookies to store visitors' preferences and to record session information, for purposes including ensuring that visitors are not repeatedly offered the same advertisements and to customize newsletter, advertising, and Content based on browser type and user profile information. We do not link the information we store in cookies to any personally identifiable information you submit while on our site.

You may be able to configure your browser to accept or reject all or some cookies, or to notify you when a cookie is set. Each browser is different, so check the "Help" menu of your browser to learn how to change your cookie preferences, however, you must enable cookies from us in order to use most functions on the site. Please note that we allow third party advertisers that are presenting advertisements on some of our pages to set and access their cookies on your computer. Advertisers' use of cookies is subject to their own privacy policies, not the Privacy Policy.

14. DEVICE COMPATIBILITY

You must hold Confidential Information in strict confidence. All right, title and interest in the Confidential Information remains with Safalta and its affiliates.

The Terms impose no obligation upon you with respect to Confidential Information that you can establish by legally sufficient evidence: (a) you possessed prior to your receipt from Safalta, without an obligation to maintain its confidentiality; (b) is or becomes generally known to the public through no act or omission by you, or otherwise without violation of the Terms; (c) you obtained from a third party who had the right to disclose it, without an obligation to keep such information confidential; (d) you independently developed without the use of Confidential Information and without the participation of individuals who have had access to it, or (e) in response to a valid order by a court or other governmental body, as otherwise required by law, or as necessary to establish the rights of either party under these Terms and as disclosed after prior notice to Safalta adequate to afford Safalta the opportunity to object to the disclosure.

16. TERMS OF TRANSACTING BUSINESS

You understand and agree to abide by SafaltaтАЩs payment policies. You agree that you are willing to pay all costs associated with the services through Safalta.

17. THIRD PARTY VERIFICATION SERVICES

Safalta may make available one or more third party verification services that enable Users of the Platform to inquire about information including, but not limited to, another UserтАЩs identity and criminal history. Use of a third-party verification service is voluntary for both the party requesting the verification and the party undergoing the verification. You agree that Safalta shall not be held responsible or liable in any way if any information provided by a third-party verification service is inaccurate.

18. ADVERTISEMENTS AND PROMOTIONS

Safalta may run advertisements and promotions from third parties on the Platform. Your correspondence or business dealings with, or participation in promotions of, advertisers other than Safalta found on or through the Platform, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. Safalta is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such non-Safalta advertisers on the Platform.

Placement of information, logos, links or names of Tutor or Institutes or any other third-party entities on the Platform does not constitute an endorsement or warranty of their services or opinions or their products. You take full responsibility for a decision to visit or patronize any such entity and hold Safalta harmless from any liability arising from such actions. You further acknowledge that no relationship (such as partnership, agent, joint venture, or employee) is created between you and Safalta or between any User including Tutor or Institutes or any other third-party entities and Safalta by formation of these Terms or by your participation on the Platform.

We do not control the information provided by Tutor or Institutes or any other third-party entities or users, which you may find to be offensive, harmful, inaccurate, or deceptive.

YOU ARE RESPONSIBLE TO EVALUATE THE ACCURACY, COMPLETENESS AND USEFULNESS OF ANY OPINION, ANSWER OR OTHER CONTENT AVAILABLE THROUGH THE PLATFORM, FROM THIRD PARTIES OR OBTAINED FROM A LINKED PLATFORM. YOU AND SAFALTA AGREE THAT THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THESE TERMS OF USE ARE MATERIAL, BARGAINED-FOR BASES OF THESE TERMS, AND THAT THEY HAVE BEEN TAKEN INTO ACCOUNT IN DETERMINING THE CONSIDERATION TO BE GIVEN BY EACH PARTY UNDER THESE TERMS AND IN THE DECISION BY EACH PARTY TO ENTER INTO THESE TERMS. IF YOU ARE DISSATISFIED WITH THE PLATFORM OR DO NOT AGREE TO ANY PROVISIONS OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE PLATFORM, EXCEPT AS MAY BE PROVIDED FOR IN THIS SECTION.

25. ASSUMPTION OF RISK

You agree to indemnify, defend, and hold harmless Safalta and its subsidiaries, affiliates, shareholders, officers, directors, agents, licensors, suppliers, other partners, employees, and representatives from and against any and all claims, demands, causes of action, losses, expenses, damages and/or liabilities, including reasonable lawyer's fees and court costs, incurred by Safalta in any way related to your (a) acts and/or omissions on or off the Platform; (b) violation of any rights of another, including without limitation any alleged infringement of intellectual property or other right of any person or entity relating to the Platform; (c) breach of these terms of use; (d) disputes with or between other Users; (e) use and/or misuse of the Platform, including without limitation any information, Content and/or materials thereon; (f) violation of any applicable law or regulation; (g) inaccurate, untimely, incomplete or misleading User information, including without limitation with respect to registration, profile or eligibility; (h) misstatements and/or misrepresentations; (i) use of links to third party websites, including without limitation such websites' availability, terms of use, privacy policy, information, Content, materials, advertising, products and/or services; (j) User information and any acts or omissions with respect to such User information; (k) use of any information in third-party reports; (l) use of third party payment processing services; (m) use of phone support services; and/or (n) use of any services or products or any contracts or arrangements made or provided based on information, Content and/or materials obtained on or through the Platform. You further agree that you will cooperate as requested by Safalta in the defence of such claims. Safalta reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by Users, and you shall not, in any event, settle any claim or matter on behalf of Safalta without the written consent of Safalta.

27. INJUNCTION

You agree that any material breach of the Terms will result in irreparable harm to Safalta for which damages would be an inadequate remedy and, therefore, in addition to its rights and remedies otherwise available at law, Safalta will be entitled to equitable relief, including both a preliminary and permanent injunction, if such a breach occurs. You waive any requirement for the posting of a bond or other security if Safalta seeks such an injunction.

28. NOTICES; MODIFICATION AND TERMINATION OF SERVICES; AMENDMENT OF TERMS

Safalta may provide notice to Users via email or regular mail, or posting notices or links to notices on the Platform. Safalta reserves the right at any time to modify, suspend or terminate the services (or any part thereof), and/or use of or access to them, with or without notice. Safalta may also delete, or bar access to or use of, all related information and files. Safalta will not be liable to Users or any third-party for any modification, suspension, or termination of service, or loss of related information. Safalta may amend these Terms at any time by posting the amended terms on this Platform.

29. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with Indian laws. All disputes under these Terms shall be referred exclusively to courts at New Delhi, India.

30. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Safalta relating to the subject matter, and cancel and supersede any prior versions of the Terms. You may not assign or otherwise transfer the Terms or any right granted hereunder. You also may be subject to additional terms and conditions that may apply when you use Safalta or third-party products or services.
